These Terms of Service govern access to and use of Outside Agent.

Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, dashboards, APIs, hosted agents, and related services provided by Santa's AI Lab Inc. ("Santa's AI Lab," "Outside Agent," "we," "us," or "our") that link to these Terms (collectively, the "Service").

By accessing or using the Service, creating an account, publishing an agent, connecting an integration, or interacting with an agent hosted through the Service, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not use the Service.

The Service

Outside Agent is a platform for building, publishing, testing, and operating AI agents that can interact with people and systems through supported channels and capabilities. The Service may include creator dashboards, agent authoring tools, hosted web pages, web chat, SMS, voice, Telegram, knowledge bases, integrations, automated rules, human handoff, billing tools, and other features.

We may add, modify, suspend, or discontinue features at any time. Some features may be offered as beta, preview, experimental, or early-access features and may be subject to additional terms, limitations, or reliability constraints.

Eligibility and accounts

You must be at least 13 years old to use the Service. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian.

You agree to provide accurate account information, keep it current, maintain the security of your account credentials, API keys, devices, payment methods, and connected accounts, and promptly notify us of any unauthorized access.

You are responsible for all activity under your account, including activity by teammates, contractors, agents, API keys, and connected services that you authorize.

Creator responsibilities

Creators are responsible for the agents they build, configure, publish, operate, and share through the Service. This includes each agent's instructions, prompts, knowledge sources, connected tools, public description, channels, outreach lists, automation rules, escalation settings, and actions.

  • You must ensure that your agents comply with applicable laws, these Terms, third-party terms, privacy notices, consent requirements, industry rules, and any agreements that apply to your use case.
  • You must provide any notices, consents, disclosures, opt-out mechanisms, and human review required for your agents, including for SMS, voice calls, call recording, marketing communications, regulated workflows, or external actions.
  • You must not configure an agent to collect, disclose, or act on information that you do not have permission to use.
  • You must test and monitor agents before and after publishing and promptly disable or fix agents that behave incorrectly, unsafely, or unlawfully.

End users and hosted agents

If you interact with an agent hosted through Outside Agent, you understand that the agent may have been configured by a third-party creator. The creator may receive, review, export, or act on information from your interaction with that agent, depending on the agent's configuration.

Agents may generate automated responses and may be wrong, incomplete, delayed, or inappropriate for your situation. Do not rely on an agent for emergency services or for professional, medical, legal, financial, safety-critical, or other high-risk advice without review by a qualified person.

Input, Output, and User Content

"Input" means prompts, messages, files, data, instructions, knowledge sources, agent configurations, and other content submitted to the Service. "Output" means responses, messages, generated content, summaries, classifications, documents, actions, and other results generated by or through the Service. Input and Output are together "User Content."

As between you and Outside Agent, you retain any rights you have in your Input. Subject to your compliance with these Terms and applicable law, you may use Output for your lawful business or personal purposes.

You grant us a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, display, modify, and use User Content as needed to provide, maintain, protect, and improve the Service, comply with law, enforce these Terms, and operate features you request. This license includes the right to provide User Content to service providers and integration providers as needed to operate the Service.

Output may not be unique. Similar or identical Output may be generated for other users, and other users may submit similar Input.

AI limitations and no professional advice

AI systems can produce inaccurate, incomplete, misleading, biased, offensive, or unexpected Output. You are responsible for evaluating Output for accuracy, legality, appropriateness, and suitability for your use case before relying on it or sharing it with others.

Outside Agent does not provide legal, medical, financial, tax, insurance, mental health, emergency, or other professional advice. Any agent used in those contexts must be configured with appropriate human review and must not replace a qualified professional.

Prohibited uses

You may not use the Service, and may not configure an agent, to:

  • violate law, infringe rights, deceive others, impersonate another person, or misrepresent affiliation;
  • generate, distribute, or facilitate harmful, hateful, harassing, exploitative, sexually explicit, violent, fraudulent, or illegal content;
  • create malware, phishing, credential theft, spam, unlawful surveillance, or unauthorized scraping;
  • collect or process highly regulated data unless we have expressly agreed in writing to support that use case;
  • process protected health information subject to HIPAA, full payment card data, government identification numbers, biometric identifiers, children's personal information, or similar sensitive information without required authorization and safeguards;
  • make or assist with high-risk decisions about credit, housing, employment, education, insurance, criminal justice, healthcare, or legal rights without required human review and legal compliance;
  • send marketing, SMS, voice, email, or other communications without required consent, opt-out, and sender identification;
  • take external actions such as payments, bookings, purchases, cancellations, legal filings, account changes, or connector writes without appropriate authorization, confirmation, and safeguards;
  • interfere with, reverse engineer, overload, scrape, bypass, or compromise the Service or any third-party system; or
  • use the Service in hazardous environments or for activities where failure could cause death, personal injury, severe property damage, or environmental damage.

Integrations and external actions

The Service may allow agents to connect to third-party services, call external tools, browse websites, send messages, place calls, update records, schedule events, generate documents, process payments, book services, or take other actions outside Outside Agent.

You are responsible for authorizing integrations, complying with third-party terms, reviewing tool permissions, setting appropriate action budgets and confirmations, and ensuring that actions taken by your agents are intended, lawful, and authorized.

We are not responsible for third-party services, their content, their availability, their security, their actions, or their terms. Your use of third-party services is governed by the terms and privacy policies of those third parties.

SMS, voice, email, and proactive communications

If you use the Service to send SMS, voice, email, Telegram, or other communications, you must comply with all applicable consent, opt-out, sender-identification, call-recording, telemarketing, anti-spam, and communications laws and carrier rules.

You must only message or call people when you have the right to do so. You must honor STOP, unsubscribe, revocation, and other opt-out requests. You must not use the Service for unlawful spam, robocalls, robotexts, harassment, or deceptive communications.

Message and data rates may apply. Telecom delivery is not guaranteed and may be delayed, filtered, blocked, or rejected by carriers, providers, or recipients.

Fees, subscriptions, wallet, and payments

Some parts of the Service may require payment, subscription, prepaid wallet balance, usage-based charges, or third-party fees. Prices, plan limits, included features, usage rates, credits, taxes, and payment terms may be shown in the Service or in an order, checkout, or plan page.

You authorize us and our payment processors to charge your payment method for amounts due. Unless otherwise stated, payments are non-refundable except where required by law or expressly agreed by us. You are responsible for taxes, carrier charges, third-party charges, and usage incurred through your account or agents.

We may change plans, prices, credits, usage rates, and features prospectively. If you dispute a charge, contact us promptly at hi@santasailab.com.

Outside Agent intellectual property

The Service, including software, interfaces, design, text, graphics, logos, documentation, models, prompts supplied by us, workflows, templates, and other content provided by Outside Agent, is owned by Santa's AI Lab or its licensors and is protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business or personal purposes. We reserve all rights not expressly granted.

Privacy

Our Privacy Policy explains how we handle personal information. By using the Service, you acknowledge that personal information will be handled as described in the Privacy Policy.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access to the Service, disable agents, remove content, revoke API keys, or limit features if we believe you have violated these Terms, created risk or liability, failed to pay amounts due, caused harm, or used the Service unlawfully or unsafely.

After termination, provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and general terms.

Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.

WE DO NOT WARRANT THAT THE SERVICE OR OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR SUITABLE FOR YOUR USE CASE, OR THAT ANY AGENT WILL OPERATE WITHOUT UNINTENDED BEHAVIOR.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SANTA'S AI LAB AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, GOODWILL, SERVICE INTERRUPTION, OR SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR ONE HUNDRED DOLLARS ($100).

Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Santa's AI Lab and its affiliates, officers, directors, employees, agents, partners, suppliers, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or relating to your User Content, agents, integrations, communications, external actions, violation of these Terms, violation of law, or infringement or misappropriation of rights.

Dispute resolution

Before filing a claim, you and Santa's AI Lab agree to try to resolve disputes informally. A party seeking to bring a dispute must send written notice describing the nature and basis of the dispute and the relief sought to Santa's AI Lab Inc., 11845 W Olympic Blvd, Suite 1100 West, Los Angeles, CA 90064, Attn: Legal, or to hi@santasailab.com.

If the dispute is not resolved within 60 days after notice is received, either party may begin arbitration as described below, except that either party may bring qualifying claims in small claims court or seek injunctive relief for intellectual property misuse or unauthorized access.

You and Santa's AI Lab agree that disputes will be resolved by final and binding arbitration under the rules of the American Arbitration Association, rather than in court, except as stated in these Terms. The Federal Arbitration Act governs this agreement to arbitrate.

You and Santa's AI Lab each waive the right to a jury trial and to participate in a class action, class arbitration, private attorney general action, or other representative proceeding to the maximum extent permitted by law.

Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. For claims not subject to arbitration, you and Santa's AI Lab consent to the exclusive jurisdiction and venue of the state and federal courts located in Los Angeles County, California.

Copyright complaints

If you believe content on the Service infringes your copyright, send a notice to hi@santasailab.com with the subject line "DMCA Takedown Request" or by mail to Santa's AI Lab Inc., 11845 W Olympic Blvd, Suite 1100 West, Los Angeles, CA 90064, Attn: Legal.

Your notice should include your physical or electronic signature, identification of the copyrighted work, identification of the allegedly infringing material and where it is located, your contact information, a statement that you have a good-faith belief the use is not authorized, and a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act for the copyright owner.

If you believe your content was removed by mistake, you may send a counter-notice with the information required by the Digital Millennium Copyright Act. We may terminate accounts of repeat infringers in appropriate circumstances.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and provide notice as required by law or through the Service. Your continued use of the Service after updated Terms become effective means you accept the updated Terms.

General terms

These Terms, together with any policies or additional terms that apply to the Service, are the entire agreement between you and Santa's AI Lab regarding the Service. You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets. If any provision is unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.
